While the company still intends to convert its business arm into a for-profit public benefit corporation, its nonprofit board will retain control, a decision impacting Microsoft’s stake and influence.

Microsoft, having invested $13 billion in OpenAI to date, is a key stakeholder in these restructuring efforts. Sources familiar with the matter indicate that Microsoft’s approval is crucial for the restructuring to proceed.
